Paid Subscription Terms

Welcome to Slotted! These Paid Subscription Terms("Terms") govern your purchase and use of the subscription services provided by Slotted, Inc. ("Slotted," "we," "us," or "our"). By purchasing or using a Paid Subscription, you agree to be bound by these Terms.

1. About Slotted

Slotted is a collaborative Request for Proposal (RFP) tool that allows brands and providers to find and evaluate one another. Our service enables providers to connect with brands efficiently and respond to RFPs seamlessly.

2. Subscription Fees

Providers subscription will be comprised of the following components:

- Monthly Access Fee: This is the access to platform with an unlimited number of users

- Location Fee: This is a monthly charge assessed for each location profile associated with the Provider.

These prices will be available on the website and we reserve the right to adjust these prices at our sole discretion. Any changes to existing subscriptions will be communicated with at least 30 days notice to existing subscribers.

3. Cancellation

Users with admin permissions can pause or cancel their subscription at any time in their account settings. There is no notice period required for cancellation. No refunds are given upon cancellation; access will continue until the end of the current billing cycle.

4. Award Fee

In addition to the monthly subscription fees, Providersagree to pay an "Award Fee" for business they earn through Slotted.

The Award Fee is calculated dynamically on a deal-by-deal basis. The specific Award Fee amount is displayed to the Provider before submitting their RFP response to the Brand. Submitting an RFP response constitutes acceptance of the Award Fee for that deal.

Award Fee Payment Terms

Invoices for half of the Award Fee are due upon the Brand awarding the business to the Provider. The remaining balance is due when the Brand starts shipping with the Provider. If the Brand chooses not to move forward with the Provider, the Provider forfeits the first half of the Award Fee, and Slotted forfeits the second half.

Circumvention

Any attempt to circumvent Slotted and pursue a lead outside of the Service may result in a lifetime ban of the User and/or the Provider at Slotted's sole discretion. If a Provider is caught attempting to circumvent Slotted they agree to pay the greater of either $50,000 or double the award fee.

5. Changes to Pricing and Terms

In no event shall Slotted, Inc. or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever arising out of or in connection with the use of or inability to use the Software, even if advised of the possibility of such damages.
